1. Acceptance of Terms
Welcome to TenancyDesk. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and the operator of TenancyDesk (the "Service Operator," "we," "our," or "us"), governing your access to and use of the TenancyDesk platform and services (the "Service"). The Service Operator's legal contact details are available upon written request to legal@tenancydesk.com. TenancyDesk is operated by Moussa Kouyate, an individual (sole trader) based in Dubai, United Arab Emirates.
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree to these Terms, you must not use our Service.
1.1 Geographic Scope
TenancyDesk is offered exclusively to entities operating real estate business in the United Arab Emirates. Users outside the UAE are not the intended audience of the Service and should not register for it.
2. Definitions
- "Service" means the TenancyDesk cloud-based property management platform, including all features, functionality, and related services.
- "Customer Data" means all data, content, and information uploaded, submitted, or created by you or your Authorized Users through the Service.
- "Authorized Users" means individuals authorized by you to access and use the Service under your account.
- "Subscription" means your paid access to the Service under a selected plan.
- "Documentation" means the user guides, help articles, and technical documentation for the Service.
- "Personal Data" means any information relating to an identified or identifiable natural person.
2.5 Legal Disclaimer; Not Legal Advice
TenancyDesk is a software tool, not a law firm. The Service provides information, document templates, and compliance checks based on publicly available UAE law as of the date of verification. None of this constitutes legal advice. Use of the Service does not create an attorney-client relationship.
You are responsible for verifying all outputs with a UAE-licensed attorney before any legal filing, submission, or reliance. By accepting these Terms you acknowledge this disclaimer.
3. Service Description
TenancyDesk is a B2B SaaS platform providing:
- Property and tenancy transaction management
- Deal pipeline and workflow automation
- Ejari preparation and UAE compliance tracking
- AI-powered document extraction and processing
- Payment scheduling and tracking
- WhatsApp and email notifications
- Reporting and analytics
- Document storage and management
3.1 Service Availability
We commit to reliable service availability. Service credits for verified downtime are detailed in your individual Order Form or SLA agreement. The Service may be temporarily unavailable due to scheduled maintenance (with advance notice) or circumstances beyond our reasonable control.
3.2 Service Updates
We continuously improve the Service and may add, modify, or remove features. Material changes that negatively affect your use will be communicated in advance.
4. Account Registration
4.1 Registration Requirements
To use the Service, you must:
- Be at least 18 years old
- Provide accurate, complete registration information
- Maintain and promptly update your account information
- Have a valid business license (for UAE-based businesses)
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your Authorized Users comply with these Terms
4.3 Account Types & Roles
The Service supports multiple user roles (Admin, Manager, Team Lead, Agent, Property Administrator) with different permission levels. The account administrator is responsible for managing user access and permissions.
5. Subscription & Billing
5.1 Subscription Plans
The Service is offered through various subscription plans (Solo, Starter, Professional, Enterprise) with different features, limits, and pricing. Current plans and pricing are available on our website.
5.2 Free Trial
New customers may be eligible for a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, your account will be converted to a paid subscription or suspended until a plan is selected.
5.3 Billing & Payment
- Subscriptions are billed monthly or annually in advance
- Payments are processed through Paddle.com Inc. as Merchant of Record in AED or USD
- Fees are non-refundable except: (a) as required by applicable law, (b) where we materially fail to deliver the Service in accordance with the Documentation, or (c) as otherwise agreed in your Order Form
- You authorize the Merchant of Record to charge your payment method automatically
5.4 Price Changes
We may change pricing with 30 days advance notice. Price changes will take effect at your next renewal period. You may cancel before the new pricing takes effect.
5.5 Taxes
Fees are exclusive of applicable taxes (including UAE VAT). You are responsible for all applicable taxes unless you provide a valid tax exemption certificate.
5.6 Late Payments
Overdue payments may incur late fees and result in service suspension. We reserve the right to engage collection agencies for unpaid accounts.
5.7 Merchant of Record
Payment transactions for paid subscriptions are processed by Paddle.com Inc. (1209 Orange Street, Wilmington, DE 19801, USA) as our Merchant of Record. Paddle is the legal seller of the subscription to you under Paddle's Buyer Terms; we license the Service to you under these Terms.
Invoices or charges from your account will appear under the name 'Paddle'. Tax calculation, collection, and remittance are handled by Paddle in accordance with the laws of your jurisdiction.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes. You must NOT:
6.1 Prohibited Activities
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for money laundering or fraudulent activities
- Upload malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Scrape, crawl, or harvest data from the Service
- Resell, sublicense, or share your account without authorization
- Use the Service to send spam or unsolicited communications
- Store or transmit content that is defamatory, obscene, or infringing
6.2 Compliance with UAE Regulations
You must comply with all applicable UAE regulations, including but not limited to:
- RERA (Real Estate Regulatory Authority) regulations
- DLD (Dubai Land Department) requirements
- Ejari registration requirements
- Anti-money laundering (AML) regulations
- UAE Federal Data Protection Law (PDPL)
6.3 Usage Limits
Your subscription plan includes specific limits (properties, users, messages, API calls). Exceeding these limits may result in additional charges or service restrictions.
7. Intellectual Property
7.1 Our Intellectual Property
TenancyDesk and its licensors own all rights, title, and interest in the Service, including all software, designs, logos, trademarks, and documentation. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service.
7.2 Your Data
You retain all ownership rights in your Customer Data. By using the Service, you grant us a limited license to use, process, and store your data solely to provide the Service.
7.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use such feedback for general product improvement without obligation to you. This license does not transfer ownership of any intellectual property embodied in your feedback.
8. Data Processing
8.1 Data Processing Agreement
To the extent we process Personal Data on your behalf, we act as a Data Processor and you act as the Data Controller. Our data processing activities are governed by our Privacy Policy and this section.
8.2 Your Responsibilities
You are responsible for:
- Ensuring you have lawful basis to collect and process Personal Data
- Obtaining necessary consents from data subjects
- Providing required privacy notices to your clients
- Ensuring the accuracy of data you upload to the Service
8.3 Our Responsibilities
We will:
- Process Personal Data only on your documented instructions
- Implement appropriate technical and organizational security measures
- Assist you in responding to data subject requests
- Notify you of any data breaches without undue delay
- Delete or return your data upon termination (subject to legal retention)
8.4 Sub-processors
You authorize us to engage sub-processors (e.g., Amazon Web Services including Amazon SES, Paddle, Anthropic, Google, Meta, Twilio, Cloudflare, and Sentry, with Resend as an email-delivery failover) to provide the Service. The full list of sub-processors is available in our Privacy Policy.
9. Confidentiality
Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose it to third parties except as necessary to perform obligations under these Terms.
"Confidential Information" includes business plans, pricing, customer data, technical information, and any information designated as confidential.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or lawfully received from a third party.
10. Warranties & Disclaimers
10.1 Our Warranties
We warrant that:
- The Service will perform substantially in accordance with the Documentation
- We have the right to provide the Service to you
- We will use commercially reasonable security measures
10.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted or error-free
- All defects will be corrected
- The Service will meet all your requirements
10.3 Compliance Disclaimer
IMPORTANT: TenancyDesk is a technology platform and does not provide legal, regulatory, or compliance advice. While we facilitate Ejari preparation and compliance tracking, we do not guarantee regulatory compliance. You are solely responsible for ensuring your business complies with RERA, DLD, and other applicable regulations. Users should consult qualified legal professionals for guidance on regulatory compliance.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.
11.2 Cap on Liability
OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) AED 5,000.
11.3 Exceptions
These limitations do not apply to:
- Your payment obligations
- Either party's indemnification obligations
- Breach of confidentiality obligations
- Gross negligence or willful misconduct
12. Indemnification
12.1 Your Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your use of the Service
- Your Customer Data or business practices
- Your violation of applicable laws or third-party rights
12.2 Our Indemnification
We will indemnify you against claims that the Service infringes any third-party intellectual property rights, provided you:
- Promptly notify us of the claim
- Give us sole control of the defense
- Provide reasonable assistance
13. Termination
13.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
13.2 Termination by Us
We may terminate or suspend your account:
- For breach of these Terms (with 30 days notice for curable breaches)
- Immediately for serious violations (fraud, illegal activity, security threats)
- If required by law or government authority
- If you fail to pay for 30 days after notice
13.3 Effects of Termination
Upon termination:
- Your right to use the Service immediately ceases
- You must pay all outstanding fees
- We will provide data export for 60 days following termination. Extended export periods may be available under Enterprise plans
- We will delete your data within 90 days (except as required by law)
13.4 Survival
Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.
14. Governing Law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Courts of the DIFC, including the DIFC Small Claims Tribunal where the claim value falls within its jurisdictional limit. The language of proceedings shall be English.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@tenancydesk.com. We will attempt to resolve disputes within 30 days.
15.2 Courts of the DIFC
If informal resolution fails, disputes shall be brought before the Courts of the DIFC pursuant to Section 14 of these Terms. Where the value of the dispute falls within its jurisdictional limit, the DIFC Small Claims Tribunal is the appropriate forum for small-value claims.
15.3 Exceptions
Either party may seek injunctive relief in courts of competent jurisdiction for intellectual property infringement or confidentiality breaches.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Service Operator regarding the Service. We provide a standard Data Processing Agreement (DPA) template available upon request for business customers; where executed, the DPA takes precedence over these Terms in case of conflict.
16.2 Amendments
We may modify these Terms at any time. Material changes will be notified 30 days in advance. Continued use after changes constitutes acceptance.
16.3 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.4 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
16.5 Waiver
Failure to enforce any right or provision shall not constitute a waiver.
16.6 Force Majeure
Neither party shall be liable for delays caused by events beyond reasonable control (natural disasters, war, terrorism, pandemics, government actions).
